INTRODUCTION

The online store available at https://mavernis.com is operated under the Mavernis brand by AOHUA ENDOSCOPY (HONGKONG) LIMITED.

In these Terms of Service, references to “Mavernis,” “we,” “our,” or “us” mean AOHUA ENDOSCOPY (HONGKONG) LIMITED. References to the “Services” include this website and the products, content, functionality, tools, information, features, and related services made available through it.

Our ecommerce storefront is hosted through Shopify, which supplies the technology that allows us to display, market, and sell products online.

These Terms of Service, together with other policies published on our website—including our Privacy Policy, Refund Policy, and Shipping Policy—set out the conditions governing your access to and use of the Services.

Please review these Terms before using Mavernis. They contain provisions concerning your legal rights and responsibilities, warranty limitations, liability, and dispute procedures.

Accessing the website, registering an account, submitting an order, or otherwise using the Services indicates your agreement to these Terms. If you do not accept them, you should discontinue use of the Services.

1. CUSTOMER ELIGIBILITY AND ACCOUNT RESPONSIBILITIES

By using the Services, you confirm that you have reached the legal age of majority applicable in your country, state, province, or other place of residence.

If you allow a dependent minor to access Mavernis using an account, device, or connection under your control, you are responsible for supervising that use.

2. PRODUCT INFORMATION AND USE

We make reasonable efforts to present products accurately. However, the way a product appears online may differ slightly from the physical item.

Differences may result from factors including:

  • Screen calibration

  • Device settings

  • Lighting

  • Photography

  • Manufacturing variation

  • Production batches

  • Manual measurement

Colors, surface finishes, dimensions, brightness, texture, and other visual characteristics therefore may not appear exactly the same on every device.

Photographs, illustrations, and videos shown on Mavernis are generally provided to demonstrate the product. Unless the product description specifically states otherwise, props, furniture, decorative objects, accessories, backgrounds, or other items shown in an image are not included with your purchase.

Minor dimensional differences may occur because of manufacturing processes or manual measurements.

We may revise or correct information relating to products at any time, including:

  • Product descriptions

  • Specifications

  • Packaging

  • Designs

  • Prices

  • Availability

  • Images

  • Other product-related details

Mavernis may also, where appropriate:

  • Restrict the quantity of an item that may be purchased;

  • Stop offering a product;

  • Restrict sales in particular countries, regions, households, or jurisdictions;

  • Decline transactions that appear fraudulent, abusive, or intended for unauthorized resale; or

  • Correct inaccurate or incomplete product information.

Customers are responsible for reviewing product descriptions, measurements, instructions, warnings, recommended uses, and other relevant information before completing a purchase.

Products should be used only for their intended purpose and according to any instructions, warnings, or safety information provided with the item.

3. ORDERS AND ACCEPTANCE OF PURCHASES

Submitting an order through Mavernis is a request to purchase the products shown in your checkout.

An order is not finally accepted merely because it has been submitted. Acceptance generally occurs after payment has been successfully authorized and we issue an order confirmation, fulfillment confirmation, or shipping confirmation.

We may decline, restrict, or cancel an order where there is a legitimate reason, including situations involving:

  • Insufficient stock;

  • Incorrect product information;

  • Obvious pricing errors;

  • Suspected fraudulent activity;

  • Unauthorized payment methods;

  • Incomplete or inaccurate delivery information;

  • Payment processor restrictions;

  • Carrier limitations;

  • Suspected unauthorized resale;

  • Breach of these Terms; or

  • Applicable legal or regulatory requirements.

If we cancel an order after successfully collecting payment, the applicable amount will be returned to the original payment method. The time needed for the refund to appear will depend on the relevant bank, card issuer, or payment service.

Please verify all information before placing an order.

After an order enters processing, packing, or fulfillment, we may no longer be able to modify or cancel it.

We will make reasonable efforts to assist, but we cannot guarantee that an order can be changed after submission.

Purchases are also subject to the Mavernis Refund Policy and Shipping Policy.

Unless Mavernis expressly agrees otherwise in writing, products purchased through the website are intended for personal or household use rather than unauthorized resale, redistribution, or commercial export.

4. PRICING, TAXES, CHARGES, AND PAYMENT

Product pricing, promotional offers, inventory availability, and discounts may be revised without advance notice.

Except in the case of an obvious error, the applicable product price will normally be the price displayed when your order is submitted.

Unless specifically stated otherwise, displayed prices may exclude certain additional expenses, such as:

  • Shipping costs

  • Handling fees

  • Sales taxes

  • Value-added tax

  • Goods and services tax

  • Customs charges

  • Import duties

  • Brokerage fees

  • Government-imposed fees

  • Usage requirements

If the terms of a specific promotion differ from these general Terms, the specific conditions of that promotion will control for that offer.

Customers must provide accurate, complete, and current payment and billing information.

By submitting a payment method, you confirm that:

  1. You have legal authority to use that payment method;

  2. The billing and payment information supplied is correct;

  3. The relevant payment provider may charge the full amount of the order; and

  4. You are responsible for valid charges associated with the purchase.

Payments may be handled through Shopify Payments or other independent payment providers.

The processing rules, security procedures, approval decisions, and processing times of third-party providers are generally controlled by those providers rather than by Mavernis.

5. SHIPPING AND DELIVERY

Information concerning eligible destinations, processing estimates, delivery estimates, available shipping services, and shipping costs may be shown in our Shipping Policy or during checkout.

Unless expressly guaranteed in writing, delivery dates and transit periods are estimates rather than fixed deadlines.

Delivery can be affected by events outside our reasonable control, including:

  • Carrier delays

  • Customs procedures

  • Severe weather

  • Natural disasters

  • Public holidays

  • Transportation interruptions

  • Strikes or other labor disputes

  • Incorrect delivery information

  • International import procedures

  • Government restrictions

  • Other force majeure circumstances

Mavernis is not responsible for delays caused exclusively by a shipping carrier, customs agency, governmental authority, or other event beyond our reasonable control.

When a delivery issue is reported, however, we will make reasonable efforts to help the customer investigate the shipment.

You are responsible for providing a complete and correct shipping address.

Where permitted by law, additional delivery or reshipping expenses arising from an incorrect, incomplete, refused, or undeliverable address may be charged to the customer.

Once a parcel has been dispatched, an address change may no longer be possible.

Unless mandatory law provides otherwise, the risk of loss passes to the customer when the parcel is delivered to the shipping address supplied during checkout.

If tracking records indicate successful delivery but the parcel cannot be located, please contact Mavernis promptly so that we can assist with an appropriate carrier inquiry.

Customers ordering internationally are responsible for determining whether the products may legally be imported into their destination country.

6. RETURNS, REFUNDS, REPLACEMENTS, AND EXCHANGES

Requests involving returns, refunds, exchanges, or replacements are handled under the Mavernis Refund Policy.

Customers should review and follow the return instructions stated in that policy before sending merchandise back.

Where advance authorization is required, the customer must contact us before returning the product.

Returns that do not follow the stated procedure may experience delays or, where permitted, may not qualify for processing.

Nothing in these Terms or our Refund Policy is intended to remove any mandatory consumer right that cannot lawfully be waived.

This includes applicable legal protections relating to goods that are defective, damaged, materially misdescribed, or otherwise non-conforming.

7. OWNERSHIP AND INTELLECTUAL PROPERTY

The Mavernis Services and the materials presented through them may include:

  • Brand names

  • Logos

  • Website designs

  • Page layouts

  • Product photography

  • Video

  • Illustrations

  • Graphics

  • Product descriptions

  • Written materials

  • Icons

  • Audio

  • Authorized customer reviews

  • Software

  • Code

  • Content organization and selection

These materials may be owned by or licensed to Mavernis, AOHUA ENDOSCOPY (HONGKONG) LIMITED, Shopify, or their respective licensors.

Applicable copyright, trademark, design, database, and other intellectual property laws may protect such materials.

Mavernis grants you a limited, personal, revocable, non-exclusive, and non-transferable right to access and use the Services for lawful non-commercial purposes.

Unless you receive prior written permission, you may not:

  • Reproduce, republish, copy, or redistribute protected website content;

  • Modify our materials or produce derivative works;

  • Use Mavernis photographs or videos for commercial purposes;

  • Remove proprietary, trademark, or copyright notices;

  • Frame or mirror portions of the website;

  • Use Mavernis branding in a misleading manner;

  • Systematically download, scrape, or collect website materials;

  • Use Mavernis content to promote unauthorized products; or

  • Exploit our content commercially without permission.

The Mavernis name, logo, product names, slogans, and related brand elements may constitute trademarks or proprietary brand assets of AOHUA ENDOSCOPY (HONGKONG) LIMITED.

No trademark license is granted except where expressly stated.

Shopify names, trademarks, and branding remain the property of Shopify or its applicable affiliates.

Rights not expressly granted under these Terms remain reserved.

8. THIRD-PARTY AND OPTIONAL TOOLS

Certain functionality available through Mavernis may rely on services or tools operated by independent companies.

Examples can include:

  • Payment tools

  • Shipment tracking systems

  • Applications

  • Social media functionality

  • Analytics tools

  • Other external features

Mavernis does not necessarily supervise, control, verify, or endorse every third-party service available through the website.

Such tools may be provided on an “as available” and “as is” basis and may also be governed by their own terms and privacy policies.

Your decision to use an independent third-party service is made at your own discretion.

You should review the third party's terms before using its service.

Except where liability cannot legally be excluded, Mavernis is not responsible for losses resulting solely from your independent use of a third-party tool.

Additional tools, resources, or functionality introduced to the Services in the future will also be governed by these Terms.

9. LINKS TO EXTERNAL WEBSITES

Mavernis may contain hyperlinks or connections to websites, applications, services, or content controlled by third parties.

Providing a link does not necessarily mean that Mavernis recommends, endorses, guarantees, or controls the third-party service.

We do not independently guarantee the:

  • Accuracy

  • Security

  • Availability

  • Products

  • Services

  • Policies

  • Privacy practices

  • Business conduct

of websites operated by independent third parties.

Once you leave Mavernis and enter an external website, your interaction with that third party is subject to its own rules.

Before entering into a transaction with an external provider, you should review that provider's policies, including its privacy and refund terms.

Questions relating solely to a third-party product or service should generally be addressed to that third party.

10. SHOPIFY PLATFORM RELATIONSHIP

Mavernis uses Shopify technology to provide its ecommerce storefront.

However, a purchase from Mavernis creates a transaction between you and AOHUA ENDOSCOPY (HONGKONG) LIMITED.

Shopify is not the seller of products offered by Mavernis.

To the maximum extent permitted under applicable law, Shopify and its affiliates are not responsible for matters relating specifically to Mavernis transactions, including:

  • Products purchased from our store;

  • Statements or descriptions provided by Mavernis;

  • Order preparation or fulfillment;

  • Mavernis customer service;

  • Mavernis refund or return decisions;

  • Product-related claims or injuries; or

  • Disputes arising directly between Mavernis and a customer.

This provision does not remove any right or remedy that applicable law does not permit to be excluded.

11. PRIVACY AND CUSTOMER INFORMATION

How Mavernis collects, uses, shares, processes, and protects personal information is explained in our Privacy Policy.

By using the Services, you acknowledge that the Privacy Policy is available for your review.

Because Mavernis operates through Shopify and other third-party providers, information submitted through the website may be processed by parties involved in operating the store, including:

  • Shopify

  • Payment processors

  • Advertising providers

  • Analytics providers

  • Fulfillment partners

  • Logistics companies

  • Shipping carriers

  • Customer support providers

  • Other operational service providers

Depending on the service involved, personal information may be processed or stored outside the customer's country of residence.

Such processing remains subject to applicable privacy and data protection requirements.

Collectively, these materials are referred to in this section as “Feedback.”

When you voluntarily submit Feedback to us, you grant AOHUA ENDOSCOPY (HONGKONG) LIMITED a non-exclusive, worldwide, royalty-free, transferable, and sublicensable right to reproduce, adapt, publish, translate, distribute, display, and promote that Feedback in connection with Mavernis and our business activities.

You continue to retain ownership of your Feedback. The license above does not transfer ownership to us.

When submitting Feedback, you confirm that:

  1. You own or otherwise control the rights needed to provide it;

  2. Any customer review presented as personal experience reflects a genuine experience;

  3. Any compensation, discount, free product, or other incentive connected to the Feedback has been appropriately disclosed;

  4. The material does not infringe another person's copyright, trademark, privacy, publicity, or other legal rights; and

  5. The Feedback is not unlawful, defamatory, fraudulent, abusive, obscene, malicious, or intentionally misleading.

You must not use Feedback features to:

  • Impersonate another person;

  • Use a false identity to mislead others;

  • Conceal or falsify the origin of a submission;

  • Post fabricated reviews;

  • Upload malware or dangerous code; or

  • Submit unlawful material.

We may review, moderate, decline, edit, restrict, or remove Feedback where we reasonably determine that it breaches these Terms, applicable law, or another person's rights.

Unless separately agreed in writing, we are not required to compensate you for Feedback, keep it confidential, or provide a response.

13. MISTAKES AND CORRECTIONS

Despite reasonable efforts to maintain accurate information, Mavernis may occasionally contain typographical mistakes, technical errors, outdated information, or omissions.

These issues may concern:

  • Product descriptions

  • Images

  • Product specifications

  • Prices

  • Promotions

  • Discounts

  • Delivery charges

  • Estimated delivery times

  • Inventory availability

  • Other store information

Where appropriate, we may correct an error, update information, or cancel an affected transaction.

This right may be exercised even after an order has been submitted.

If a paid order is canceled because of such an error, the applicable amount will be refunded to the original payment method.

Except where required by law, Mavernis is not obligated to continually revise or clarify every item of previously published information.

14. UNACCEPTABLE USE OF THE SERVICES

You may use Mavernis only for lawful purposes.

You must not use the Services for activities that:

  1. Breach applicable international, national, federal, state, provincial, regional, or local law;

  2. Infringe intellectual property belonging to Mavernis or another party;

  3. Harass, threaten, intimidate, abuse, defame, or unlawfully discriminate against another person;

  4. Submit intentionally fraudulent, deceptive, or materially false information;

  5. Impersonate another individual, company, or organization;

  6. Distribute spam, unsolicited advertising, chain messages, or similar unauthorized communications;

  7. Introduce malware, ransomware, viruses, spyware, or damaging code;

  8. Attempt unauthorized access to systems, networks, accounts, databases, or servers;

  9. Disrupt or interfere with the availability, security, or performance of the Services;

  10. Scrape, crawl, harvest, or systematically extract website information without authorization;

  11. Collect personal information about another person without lawful authority;

  12. Conduct payment fraud, chargeback fraud, identity theft, or similar abuse;

  13. Purchase products using payment information you are not authorized to use;

  14. Duplicate, resell, reproduce, or commercially exploit the Services without permission;

  15. Bypass purchasing restrictions, security controls, or access limitations; or

  16. Use the Services in a way that may materially harm Mavernis, Shopify, customers, or third parties.

Where we reasonably believe these restrictions have been breached, we may suspend or terminate the relevant user's access.

Where legally permitted or required, we may also cooperate with:

  • Law enforcement

  • Financial institutions

  • Payment providers

  • Shopify

  • Shipping companies

  • Government authorities

  • Other appropriate organizations

in connection with suspected fraud or unlawful activity.

15. ELECTRONIC NOTICES AND COMMUNICATIONS

When you use Mavernis or communicate with us electronically, you agree that certain communications may be delivered electronically.

These communications can include:

  • Order confirmations

  • Payment notices

  • Shipment notifications

  • Customer support messages

  • Account-related communications

  • Policy notices

  • Other legally required communications

Operational and transactional messages are different from promotional marketing.

Where consent is required by applicable law, marketing emails or text messages will be sent only where the necessary consent has been obtained.

Promotional emails may generally be unsubscribed from using the unsubscribe mechanism included in those communications.

Opting out of marketing does not prevent Mavernis from sending messages necessary to administer your account, transaction, order, shipment, refund, security matter, or customer service request.

16. ENDING OR SUSPENDING ACCESS

You may stop using Mavernis whenever you choose.

We may restrict, suspend, or terminate access to some or all Services where reasonably justified, including when:

  • These Terms have been violated;

  • Fraudulent or unlawful conduct is reasonably suspected;

  • A user's conduct creates material security or legal risk;

  • The activity harms Mavernis, Shopify, another customer, or a third party; or

  • A particular Service or feature is discontinued.

Termination does not remove responsibilities or liabilities that arose before termination.

For example, valid unpaid amounts remain payable.

Provisions that are intended by their nature to continue after termination will remain effective.

These may include provisions dealing with:

  • Intellectual property

  • User Feedback

  • Warranty disclaimers

  • Liability limitations

  • Indemnification

  • Dispute resolution

  • Governing law

17. WARRANTY DISCLAIMER

To the greatest extent permitted by applicable law, the Services are made available on an “as is” and “as available” basis.

Unless Mavernis expressly provides a written warranty, or applicable law gives you a right that cannot be waived, we do not guarantee that:

  • The website will operate continuously or without interruption;

  • Every function will always be error-free;

  • All website content will always be complete or current;

  • Every advertised product will remain available;

  • The Services will function identically on every device;

  • The Services will always be free of viruses or harmful elements; or

  • A product will be suitable for a purpose that Mavernis has not expressly stated.

To the extent permitted by law, implied warranties relating to merchantability, satisfactory quality, fitness for a particular purpose, durability, title, or non-infringement are disclaimed.

Some jurisdictions restrict the exclusion of implied warranties.

Where those restrictions apply, this section operates only to the maximum extent legally permitted.

Nothing in these Terms excludes a mandatory statutory guarantee, consumer remedy, or other right that cannot lawfully be waived.

18. LIMITS ON LIABILITY

To the broadest extent permitted by applicable law, AOHUA ENDOSCOPY (HONGKONG) LIMITED, Mavernis, and their applicable affiliates, officers, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, special, incidental, exemplary, punitive, or consequential losses arising from the Services or products purchased through them.

Examples may include:

  • Loss of profits

  • Loss of revenue

  • Loss of expected savings

  • Loss of data

  • Loss of business opportunities

  • Replacement expenses

  • Comparable financial losses

Where applicable law does not permit liability to be completely excluded, liability will be restricted only to the maximum extent permitted.

Nothing in these Terms excludes or limits responsibility where the law prohibits such exclusion, including liability relating to:

  • Fraud;

  • Fraudulent misrepresentation;

  • Death or personal injury caused by negligence where liability cannot be excluded;

  • Willful misconduct;

  • Gross negligence where applicable; or

  • Any other liability that applicable law makes non-excludable.

Consumer rights and available remedies may differ depending on your jurisdiction.

19. INDEMNITY

To the extent allowed by law, you agree to indemnify, defend, and hold harmless AOHUA ENDOSCOPY (HONGKONG) LIMITED, Mavernis, Shopify, and their respective affiliates, officers, directors, employees, contractors, agents, licensors, and service providers against third-party claims, damages, losses, liabilities, and reasonable legal expenses arising from:

  1. A material violation of these Terms by you;

  2. Your unlawful use of Mavernis;

  3. Your infringement of another person's intellectual property, privacy, or other legal rights;

  4. Content or Feedback submitted by you; or

  5. Fraudulent, abusive, or unauthorized conduct carried out through your account.

This indemnification obligation does not apply to the extent the relevant claim results from our own unlawful conduct, negligence, or breach of these Terms.

Where appropriate, we may take control of the defense of an indemnified claim.

You agree to provide reasonable cooperation.

We will not settle such a claim in a manner that imposes a non-financial obligation directly on you without your reasonable consent.

20. EVENTS OUTSIDE OUR CONTROL

Mavernis will not be responsible for delays or failures caused by circumstances reasonably beyond our control.

Examples may include:

  • Earthquakes and other natural disasters

  • Floods

  • Fires

  • Severe storms

  • Epidemics or pandemics

  • War

  • Terrorism

  • Civil disorder

  • Government actions

  • Customs restrictions

  • Labor disputes

  • Transport interruptions

  • Shipping carrier disruptions

  • Utility failures

  • Internet outages

  • Cyberattacks

  • Failures of third-party technology or service providers

This section does not remove obligations that applicable law does not permit us to exclude.

It also does not prevent a customer from receiving a refund where such a refund is required by law.

21. SEVERABILITY

If a court, tribunal, arbitrator, or other competent authority determines that part of these Terms is unlawful, invalid, or unenforceable, that provision will be applied to the maximum lawful extent where possible.

Any unenforceable portion may be separated from the remainder of the Terms.

All remaining provisions will continue to operate and remain enforceable.

22. NO WAIVER AND COMPLETE AGREEMENT

If Mavernis does not immediately exercise or enforce a right available under these Terms, that does not mean the right has been waived.

These Terms, together with policies and rules incorporated into them, including our:

  • Privacy Policy

  • Refund Policy

  • Shipping Policy

  • Other applicable store policies

form the agreement between you and Mavernis concerning your use of the Services.

They replace prior or contemporaneous communications or agreements concerning the same subject matter.

Where wording is genuinely ambiguous, the provision should be interpreted fairly and will not automatically be construed against one party merely because that party prepared the document.

23. ASSIGNMENT AND TRANSFER

You may not assign, delegate, transfer, or sublicense your obligations or rights under these Terms without prior written approval from Mavernis.

Subject to applicable law, AOHUA ENDOSCOPY (HONGKONG) LIMITED may transfer or assign rights or obligations relating to these Terms as part of a legitimate business arrangement, including:

  • A merger

  • Corporate restructuring

  • Acquisition

  • Sale of business assets

  • Service-provider arrangement

  • Similar corporate transaction

An attempted assignment that violates this section may be invalid to the extent permitted by applicable law.

24. APPLICABLE LAW AND DISPUTES

These Terms and any separate agreement through which Mavernis provides the Services are governed by the laws of the Hong Kong Special Administrative Region, without applying rules concerning conflicts of law.

This choice of law is not intended to deprive a consumer of mandatory legal protections available in the consumer's place of residence where such protections cannot legally be waived.

Informal Dispute Process

Before beginning formal legal proceedings, you agree to first contact us at:

Your notice should provide a reasonable explanation of the issue and the outcome you are seeking.

After written notice has been received, both parties will attempt in good faith to resolve the matter informally for at least 30 days.

Arbitration

Where applicable law permits, a dispute, controversy, difference, or claim arising from or connected with these Terms that cannot be resolved through the informal process will be referred to arbitration.

This includes disputes concerning the:

  • Existence

  • Validity

  • Meaning

  • Interpretation

  • Performance

  • Breach

  • Termination

of these Terms.

Arbitration will be administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules that apply when proceedings begin.

Unless mandatory law requires otherwise:

  • The legal seat of arbitration will be Hong Kong;

  • The proceeding will be decided by one arbitrator;

  • The arbitration language will be English; and

  • The resulting award will be final and binding.

A party may apply to a competent court for urgent temporary or injunctive relief where reasonably necessary to protect intellectual property, confidential information, or other legal rights before an arbitral tribunal is fully constituted.

Nothing in this section removes any mandatory consumer entitlement to bring a claim before an eligible local court, consumer tribunal, or small claims court.

Individual Dispute Resolution
